Terms of use

1. Purpose

These terms of use govern access to and use of the Mentor AI Notaire platform, available at mentorainotaire.ca and operated by Mentor AI NotarIA Inc. (the “Company”, “we” or “us”).

By accessing the platform or using our services, you confirm that you have read these terms and agree to be bound by them. If you do not accept them, you must not use the platform.

2. The service

Mentor AI Notaire is a software platform built for notarial practices in Québec. It offers the following capabilities:

• Management of notarial files
• Automated document analysis
• Legal compliance verification
• Assisted drafting of documents
• Conversational assistance powered by artificial intelligence
• A legal knowledge base
• A financial overview of the practice, where accounting software has been linked

Mentor AI Notaire is not a closing system, an official archiving system, or an electronic signature tool. The platform assists the work; the notary remains solely responsible for their professional acts.

Linked third-party services: A practice may link accounting software it holds, such as QuickBooks Online. The connection is optional, read only, and can be removed at any time. The agreement between the practice and that software provider remains separate from these terms, and Mentor AI Notaire is not responsible for the availability or the accuracy of the data that service supplies.

3. Eligibility

Access is reserved for notarial professionals practising in Québec, including notaries, legal technicians, and administrative staff duly authorised by the practice.

Access is granted following review of an access request. Each user receives personal credentials. Sharing credentials between users is strictly prohibited.

4. Your obligations

In using the platform, you undertake to:

• Use the platform in accordance with applicable law and professional codes of conduct
• Make no attempt to reach the data of another practice
• Use the platform for notarial practice only
• Keep your sign-in credentials confidential
• Notify us without delay of any security incident or unauthorised use of your account

5. Intellectual property

The platform, its source code, its design, and its content are the exclusive property of Mentor AI NotarIA Inc. Any unauthorised reproduction, distribution, or use is prohibited.

Documents you generate through the platform remain yours. You grant Mentor AI NotarIA Inc. a limited licence to process those documents for the sole purpose of delivering the service.

6. Data and privacy

The processing of personal information is governed by our Privacy Policy, which forms an integral part of these terms.

All data is hosted in Montréal, Canada. Transfers outside Canada are limited to the exceptions set out in the Privacy Policy.

We never use our customers' data to train or improve artificial intelligence models.

7. Responsibility and limits

Mentor AI Notaire is an assistive tool. It does not replace the professional judgment of the notary. The notary remains solely responsible for verifying the results the platform provides and for all of their professional acts.

Mentor AI NotarIA Inc. cannot be held liable for decisions taken on the basis of information supplied by the platform.

We make reasonable efforts to keep the service available, without guaranteeing uninterrupted access. Planned or unforeseen interruptions may occur for maintenance, updates, or reasons beyond our control.

In all circumstances, the total liability of Mentor AI NotarIA Inc. is limited to the amounts actually paid by the user during the twelve (12) months preceding the event giving rise to the claim.

8. Pricing and payment

Pricing is communicated at the time of the access request. Subscriptions are billed monthly according to the agreed plan.

We reserve the right to change pricing. Any change will be communicated in writing with at least thirty (30) days' notice.

9. Term and termination

These terms take effect on first use of the platform and remain in force for as long as the user holds an active account.

Either party may terminate the agreement by written notice with at least thirty (30) days' notice.

Following termination, the user has a grace period of thirty (30) days to export their data. After that period, the data is permanently deleted.

We reserve the right to suspend access immediately in the event of a breach of these terms.

10. Changes

We reserve the right to amend these terms of use. Any substantial change will be communicated to users with at least thirty (30) days' notice.

Continued use of the platform after a change takes effect constitutes acceptance of the amended terms.

11. Governing law

These terms are governed by the laws of Québec and the federal laws of Canada that apply therein. Any dispute arising from these terms falls under the exclusive jurisdiction of the courts of the judicial district of Montréal.
